Terms and conditions
1. Introduction
1.1 These Terms and Conditions govern access to and use of the CPD at Leeds learning management system (the "Platform") and the Courses made available through it (the "Services"), provided by the University of Leeds, of Woodhouse Lane, Leeds LS2 9JT (the "University").
1.2 By registering for, accessing or using the Platform or the Services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not access or use the Platform or the Services.
2. Definitions and Interpretation
The following definitions apply in these Terms and Conditions:
"Confirmation" means the University's written confirmation of acceptance of a booking or registration application;
"Consumer" means a User who is a natural person acting wholly or mainly outside their trade, business, profession or occupation. An Organisation is not a Consumer;
"Content" means all text, images, video, audio and other materials made available on or through the Platform;
"Course" means an Online Course, an On-Campus Course, a Blended or Hybrid Course or educational resources available on the Platform, as the context requires;
"Fee" means the fee payable by the User or the Organisation to the University for a Course, as set out at the time of booking;
"Online Course" means a course, webinar, tutorial or other educational resource delivered wholly online through the Platform;
"On-Campus Course" means a course, tutorial, training session or educational programme delivered in person at the University of Leeds or another specified location;
"Blended or Hybrid Course" means a course, tutorial, training session or educational programme delivered partly online and partly in person;
"Organisation" means an organisation booking a Course on behalf of one or more of its employees or members as a User;
"Party" means each of the University and the Organisation (where the Organisation has made the booking) or the University and the User (where the User has made the booking) (together the "Parties");
"Self-Paced Course" means an Online Course made available through the Platform for a User to access and complete at their own pace and which does not have a fixed start date;
"Terms and Conditions" means these terms and conditions;
"User", "you" or "your" means any individual who registers for, accesses or uses the Platform or the Services.
3. User Eligibility and Account Registration
3.1 If you register on behalf of an Organisation, you confirm that you have authority to act on behalf of that Organisation and to bind it to these Terms and Conditions.
3.2 You must ensure that all information you provide to us is accurate, complete and kept up to date.
3.3 To access certain parts of the Platform you may be required to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.4 You must notify us immediately at cpd@leeds.ac.uk of any unauthorised use of your account.
4. Formation of Contract
4.1 A legally binding contract is formed between the Parties when the University issues Confirmation of acceptance of a booking application.
4.2 Bookings are made online and are subject to availability and Confirmation.
4.3 These Terms and Conditions, together with the Confirmation, constitute the entire agreement between the Parties in relation to the relevant Course.
5. Delivery of Courses
5.1 Subject to clause 4 above, and payment of the Fee, the University agrees to deliver the relevant Course to the User.
5.2 Course content, tutors, and the mode of delivery may be subject to change, including due to tutor availability, updates to materials, or operational need. Every reasonable effort will be made to ensure that published Course information is accurate and up to date. Users should contact cpd@leeds.ac.uk to check the current position on a Course before relying on that information.
6. Payment
The Fee must be paid in advance of a Course by the User or the Organisation, as applicable, using the payment methods made available as part of the booking process.
7. Cancellation by User or Organisation
7.1 Right to cancel
A User or Organisation may cancel a booking by giving written notice to the University by email at cpd@leeds.ac.uk, subject to the remainder of this clause 7.
7.2 Statutory right to cancel (Consumers)
7.2.1 Where the User is a Consumer, the Consumer has a statutory right to cancel the contract for any reason within 14 days of receiving Confirmation (the "Cancellation Period").
7.2.2 To exercise this right, the Consumer must notify the University by email at cpd@leeds.ac.uk before the Cancellation Period expires.
7.2.3 Where cancellation occurs within the Cancellation Period and the Course has not started, the University will refund the Fee in full within 14 days of the cancellation notice.
7.2.4 If cancellation occurs within the Cancellation Period and after the Course has started, the University will refund the Fee less an amount proportionate to the part of the Course delivered before cancellation, but only where, before the Course started, the Consumer expressly requested that delivery begin during the Cancellation Period and acknowledged that they may be required to pay for Course content delivered before cancellation. If the Consumer did not make that request and give that acknowledgement, the University will refund the Fee in full. Any balance due will be refunded within 14 days of the cancellation notice.
7.2.5 Where a Course is a Self-Paced Course, references in clauses 7.2.3 and 7.2.4 to the Course having "started" mean the date on which the User first accesses any Course Content through the Platform.
7.2.6 This does not affect the Cancellation Period under clause 7.2.1, which runs from the date of Confirmation regardless of whether or when the User accesses the Course.
7.3 Contractual right to cancel (non-statutory)
7.3.1 This clause 7.3 applies where: (a) the contract is entered into by an Organisation; (b) the User is not a Consumer, including where the User books a Course wholly or mainly in the course of their employment, business or profession; or (c) the User is a Consumer but wishes to cancel after the Cancellation Period has expired.
7.3.2 A cancellation under this clause 7.3 must be notified to the University by email at cpd@leeds.ac.uk.
7.3.3 Where cancellation occurs under this clause 7.3:
(a) the University will refund the Fee in full if cancellation occurs 30 or more days before the Course start date; and
(b) no refund will be payable where cancellation occurs less than 30 days before the Course start date.
Any refund due under this clause will be paid within 60 days of the cancellation notice.
7.3.4 For the purposes of clause 7.3.3, where the Course is a Self-Paced Course, the Course start date shall be the earlier of:
(a) the date on which the User first accesses any Course Content through the Platform; and
(b) the date falling 30 days after Confirmation.
8. Cancellation by the University
The University may cancel or suspend a Course by written notice if circumstances beyond its reasonable control prevent or delay delivery (including staff shortage) or if participant numbers fall below a sustainable level. Other than returning any Fee already paid, the University will have no liability to the Organisation or User for any loss or damage suffered as a result of such cancellation or suspension.
9. User Conduct
9.1 You must not use the Platform or the Services for any unlawful purpose or in any way that disrupts the functioning of the Platform.
9.2 You must not attempt to gain unauthorised access to the Platform, its servers, or any data held on it.
9.3 The University reserves the right to withdraw a User from a Course, without refund, where the University reasonably considers that the User has acted unlawfully, maliciously, or in a discriminatory manner, or has caused nuisance, offence or annoyance to the University, staff, other Users, or any other person, or has damaged the reputation of the University.
10. Intellectual Property
10.1 All Content and other intellectual property used or created by or for the University in the design and delivery of a Course (including materials, methods, techniques and processes) is the property of the University or its licensors, unless otherwise stated.
10.2 You may not copy, reproduce, distribute, or create derivative works from any Content, other than for your own personal study purposes in connection with a Course, without the University’s prior written consent.
11. Disclaimers
11.1 The University does not guarantee that the Platform will be available at all times or that it will be free from errors or interruptions.
11.2 Courses are provided on an "as is" basis. To the extent permitted by law, all warranties, conditions and other terms implied by statute or common law are excluded, save for any that cannot lawfully be excluded.
12. Limitation of Liability
12.1 Nothing in these Terms and Conditions excludes or limits either Party's liability for: (a) death or personal injury caused by that Party's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot lawfully be excluded or limited.
12.2 Except as provided in clause 12.1, in no event will either Party be liable for loss of profits, business, contracts, or anticipated savings, or for any indirect or consequential loss, whether arising in contract, tort (including negligence) or otherwise.
12.3 Subject to clauses 12.1 and 12.2, the University's aggregate liability to a User or Organisation in respect of all claims arising out of or in connection with a Course will be limited to a sum equal to the Fee paid in respect of the relevant Course.
13. Data Protection
13.1 The University will collect and process personal data relating to Users and Organisations in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018.
13.2 The University is the data controller for personal data processed in connection with the Platform and the Services. Further detail on what personal data is collected, how it is used, the lawful bases relied upon, and how long it is retained is set out in the University’s Privacy Notice. Questions about the use of personal data may be directed to the University's Data Protection Officer at dpo@leeds.ac.uk.
13.3 Users and Organisations have rights under data protection legislation, including rights of access, rectification, erasure, restriction and objection, as further detailed in the Privacy Notice referred to above.
14. Changes to These Terms
The University may update these Terms and Conditions from time to time. Where a change materially affects a User, the University will give reasonable advance notice before it takes effect. Changes will not be applied retrospectively so as to reduce the rights of a User part-way through a Course for which they have already paid.
15. Termination
15.1 The University may suspend or terminate a User's access to the Platform for a material breach of these Terms and Conditions, having given the User reasonable opportunity to remedy the breach where the breach is capable of remedy, except as set out in clause 9.3.
15.2 Where the University terminates a User’s access under clause 15.1: (a) if the termination arises from conduct described in clause 9.3, no refund will be payable; and (b) in any other case, the University will refund such proportion of the Fee as reasonably reflects the part of the Course not yet delivered.
16. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to deal with any dispute arising out of or in connection with these Terms and Conditions.

We use cookies but will only use optional ones with your consent.
Where you have provided your consent we will also use your data for targeted marketing purposes

Who Do We Share This Information With?
As part of the course process, we may need to share your details with third parties, including:

How Long We Keep Information
We will keep your data for five years, after which it will be removed. For information on how long we retain personal information, see the University of Leeds retention schedule.
3. How can I have my data removed or deleted?
We need to process your details for admission and administration of your studies; if you do not want us to use your data in this way, then unfortunately, we will not be able to give you access to our courses.
We will from time to time communicate with you by email about various services provided by the University. If, at any stage, you are concerned about the content of these communications, e.g. marketing information that you don’t think is relevant to you, or you wish to change the method of communication, please email cpd@leeds.ac.uk. We will however continue to contact you about matters relating to the provision of your course.
4. Your Data Protection Rights
Under data protection law, you have rights including:
- Your right of access: You have the right to ask us for copies of your personal data.
- Your right to rectification: You have the right to ask us to rectify personal data you think is inaccurate or to complete information you think is incomplete.
- Your right to erasure: You have the right to ask us to erase your personal data in certain circumstances.
- Your right to restriction of processing: In certain circumstances, you have the right to ask us to restrict the processing of your personal data.
- Your right to object to processing: You have the right to object to the processing of your personal data in certain circumstances.
- Your right to data portability: You have the right to ask that we transfer the personal data you gave us to another organisation, or to you, in certain circumstances.
- Your right to withdraw consent: When we use consent as our lawful basis, you have the right to withdraw your consent.
You usually don’t need to pay a fee to exercise your rights. If you make a request, we have one calendar month to respond to you.
